Nominee services
A professional name on the record. Not a disappearing act.
Manager-of-record and member-of-record service for Wyoming entities, written down, limited in scope, and refused when the goal is concealment.
What nominee / manager-of-record service is
Wyoming does not list LLC members or managers in its ordinary public entity record. That already keeps a name off a permanently indexed, broker-scraped state website. Some owners still want a professional name in the documents that do circulate: a lease, a vendor packet, a registered-office listing, a manager line in an operating agreement that will be shown to a third party.
That is the job. A nominee manager or member-of-record is a person or company that appears in those places under a written appointment, while the economic owner stays the economic owner. The appointment is documented. It can be unwound. It is not a secret.
What it is not
Read this before you inquire
We will not help anyone conceal ownership from a bank, a tax authority, or a court. We will not describe this as anonymity. We will not accept an engagement whose purpose is to make a beneficial owner disappear. If that is the goal, this is the wrong company, and we will say so on the first call.
Nominee service also does not replace a registered agent, does not file your annual report, and does not change beneficial ownership reporting obligations where they still apply (foreign entities registered in a U.S. state remain FinCEN reporting companies; several states have their own disclosure laws). See Corporate Transparency Act.
Who actually uses it
Legitimate reasons we see
- A public-facing manager on a holding company so the owner’s home address and personal name are not in every vendor file
- A professional name on a suite of related entities that share an office and a mail process
- An extra layer of public-record privacy on top of Wyoming’s already-quiet SOS record, combined with public record address and mail forwarding
Whether a nominee arrangement is appropriate for a given person, and how the operating agreement should read, is legal work. Tresp Corporate Services provides the corporate service. The independent firm Tresp, Day & Associates, Inc. handles the legal instrument when one is needed.
How it works with TCS
Every nominee engagement is written. We identify the entity, the role (manager-of-record, member-of-record, or both), the documents we will sign, and the documents we will not. We do not sign debt. We do not sign tax returns. We do not pretend to run the business. You remain responsible for the company.
Most clients pair this with a compliance package so the annual report, registered agent, and mail are handled in the same office that holds the nominee appointment. That is the point of a staffed building in Kemmerer rather than a mailbox.
Pricing
Nominee service is priced by engagement, not as a published SKU, because the role, the number of entities, and the documents involved are not the same from one client to the next. There is no checkout button on this page on purpose.
Request a nominee engagement
Call and describe the entity and the role. If it is a fit, we send an invoice. If it is not, we will say so.
Common questions
Frequently asked
Is nominee service the same as anonymity?
No. A nominee puts a professional name on specified public-facing documents. The beneficial owner remains the beneficial owner. Banks, the IRS, and courts still require accurate ownership information. Tresp Corporate Services will not take an engagement whose purpose is concealment.
Do you publish a nominee price?
No. It is priced by engagement because the role and the documents vary. Call 307.800.1088 for a quote. Payment is by invoice.
Can a nominee sign loans or tax returns?
No. Our nominee appointments are limited to the corporate documents named in the engagement. We do not sign debt and we do not sign tax returns.
Is this legal advice?
No. Tresp Corporate Services is not a law firm. Whether a nominee arrangement is appropriate for you is a legal question. We can refer you to Tresp, Day & Associates, Inc., or you may use counsel of your own choosing.
Tresp Corporate Services, LLC provides corporate, registered-agent, and compliance services and does not provide legal advice. For legal matters, we work in tandem with the independent law firm Tresp, Day & Associates, Inc. This page is general information only.
