Ongoing upkeep

  • Records review. An initial audit of the entities in your structure to find gaps, missed filings, undocumented decisions, entities that have lapsed.
  • Entity maintenance. Registered agent of record, annual reports, and state filings across every jurisdiction your structure touches.
  • Documentation. Minutes and resolutions evidencing that each entity is operated as a separate, real company rather than a name on a filing.
  • Ongoing monitoring. Regular checks so a lapse is caught in weeks, not discovered years later when it matters.
  • Coordination. When something arrives that needs an attorney's eyes, we route it rather than sit on it.

Why maintenance is where structures fail

Most asset protection structures are not defeated by a clever legal argument against their design. They are defeated because somewhere along the way an entity was administratively dissolved, minutes were never kept, an address went stale, or the same bank account was used for everything. The structure was sound on paper and hollow in practice.

That failure mode is entirely preventable and it is entirely administrative, which is precisely why it should be somebody's job rather than something you intend to get to.

Why do asset protection structures fail?

Most commonly for administrative reasons rather than legal ones: an entity is administratively dissolved for a missed annual report, corporate minutes were never kept, or the entities were never operated as genuinely separate companies. A structure that is sound in design can still be hollow in practice if nobody maintains it.
