Benefits of a Series LLC
Each individual series is treated as separate from the other series and from the parent company, so the debts, liabilities, and earnings of each are kept apart. Each series can be wholly owned by the parent or have different partners. That separation is valuable in higher-risk activities, a real-estate investor might place each property in its own series so a lawsuit or credit event against one does not reach the others, and an e-commerce operator might separate distinct brands or product lines that each carry their own risk.
Taxation
Because each series is treated as its own company, it can make its own tax election, disregarded entity, partnership, S-corp, or C-corp, by filing the relevant forms with the IRS. That flexibility can help owners with very different income streams manage their overall tax picture. Note that each series must have its own Employer Identification Number (EIN).
Public record and privacy
The series are separate for tax and asset-protection purposes, but they are not independently anonymous. The parent and each series appear on the same filings and are linked together, so a Series LLC does not give you the same privacy as separately filed LLCs. Naming, why it’s a holding structure
Each series is named after the parent. If your parent company is “Best Holdings, LLC,” each series is named “Best Holdings LLC Series 1,” “Best Holdings LLC Series 2,” and so on. Because of that, a Series LLC works best as a holding company for real estate or other assets rather than as an operating business, you generally would not want your active construction company to be called “Best Holdings LLC Series 1.” For asset or real-estate holdings, though, a Series LLC saves on initial filing fees and yearly renewals and is well worth considering.
